The Board of Directors of Boston Properties is currently comprised of nine diverse and highly accomplished individuals who are dedicated to serving the best interests of our stockholders. A majority of the members of the Board of Directors qualify as "independent directors" under the listing standards of the New York Stock Exchange. The Board is responsible for directing and providing oversight of Boston Properties' management and has created committees comprised of independent directors to assist it in fulfilling its obligations. In carrying out its responsibilities, the Board, or a committee thereof, reviews management's strategy, approves and implements governance policies, monitors its own performance and the performance of top management, and provides oversight of financial reporting and legal compliance.
